Terms and Conditions Adsen Advertising Services ABN: 98 162 175 031 Western Australia, Australia Last updated: March 2025 

1. Introduction These Terms and Conditions ("Terms") govern the provision of advertising services by Adsen (ABN 98 162 175 031) ("we", "us", "Adsen") to you ("you", "Client"). By engaging our services, signing up, or making payment, you agree to these Terms. We may update these Terms — continued use constitutes acceptance.

2. Services We provide personal ad management services (no account managers) for Meta (Facebook/Instagram) and Google Ads. All clients receive upfront (before management starts):

  • Website Traffic Analysis
  • Current Keyword Analysis
  • Competitor Review (3 competitors)
  • Strategy Meeting (discussion of best plan)
  • 24/7 support

Plans (weekly retainer):

Starter Plan – $99 per week Google Ads (up to $30/day ad spend):

  • PPC management
  • Conversion tracking (CPC, ROAS, optimisation)
  • Keyword research & optimisation (exact, broad match, negative keywords)
  • Monthly reporting + weekly email check-ins

Meta Ads (up to $30/day ad spend):

  • PPC management
  • Audience building, targeting & split testing
  • Retargeting to optimise ROAS
  • Graphic design & building ad creatives (included)
  • Monthly reporting + weekly email check-ins

Pro Plan – $199 per week (includes Starter + extras)
Google Ads: Campaign split testing (Search, PMAX, Shopping), CTA strategy & split testing.
Meta Ads: Creative testing (multiple variations/placements), monthly ad strategy, campaign strategy & ad set development, 3x design creatives, ongoing budget/ad testing management, growth scale tests.

Services are ongoing weekly management.
We do not provide SEO, email marketing, or other services unless separately agreed.

3. Fees and Payment

  • No setup fees.
  • Weekly retainer fee as per your selected Plan.
  • Minimum commitment: 4 weeks (covers initial analysis/setup).
  • Billed weekly in advance via Ezidebit direct debit (automated).
  • You authorise recurring debits.
  • We cover our admin/bank fees and 0.3% of card fees where applicable.
  • You cover:
    • 1.99% on Mastercard/Amex international card payments (if applicable).
    • Any Ezidebit failed transaction/dishonour/redebit fees (e.g., $0.99 failed + $2.75 redebit dishonour, as per Ezidebit terms).
  • Fees are in AUD, GST-inclusive where applicable.
  • Late payments may suspend services.

4. Term and Cancellation

  • Starts on first payment/debit date.
  • Minimum 4 weeks.
  • After minimum term, cancel anytime.
  • To cancel: Notify us in writing (email) at least 48 hours before your next scheduled debit date. We will remove you from Ezidebit.
  • No refunds on prepaid weeks. Services continue until end of paid period.

5. Client Responsibilities You must:

  • Set up and maintain your own Meta Ads and Google Ads accounts.
  • Grant us full management access (via sharing permissions).
  • Specify and fund your daily ad spend budget per platform (separate from our fee — paid directly to Meta/Google).
  • Provide timely information, feedback, assets, and approvals as reasonably requested.
  • Ensure all provided information is accurate.

6. Intellectual Property All ad creatives, graphics, and materials we design/provide become your property upon full payment of the relevant fees. You grant us a licence to use them for portfolio/marketing (anonymised if requested).

7. No Guarantees Advertising results depend on many factors (platforms, algorithms, market conditions, your ad spend, etc.). We do not guarantee specific results, traffic, leads, sales, ROAS, or growth. Past performance is not indicative of future results.

8. Limitation of Liability To the extent permitted by law (including Australian Consumer Law):

  • We are not liable for indirect, consequential, or special losses (e.g., lost profits, business interruption).
  • Our total liability is limited to the fees paid by you in the 3 months prior to the claim.
  • We are not responsible for actions/inactions by Meta, Google, or third parties, or for your ad account suspensions/bans.

9. Termination We may suspend/terminate if you breach these Terms (e.g., non-payment, failure to provide access). You remain liable for fees up to termination date.

10. Governing Law These Terms are governed by the laws of Western Australia, Australia. Disputes resolved in WA courts.

11. General If any term is invalid, the rest remain. These Terms (plus any signed agreement) are the full agreement. Contact: info@adsen.com.au
